In Commander, Friendly Ghost does its best work protecting key creatures from board wipes or targeted removal, buying a turn or permanently saving a piece that would otherwise die. In faster formats like Modern and Pioneer, the two-mana instant speed is acceptable but the effect rarely lines up with the tempo demands of those formats — protection spells there want to win a combat or counter a removal spell more decisively.
